1) Who These Terms Apply To
You are the individual or entity using the Services ("you" or "Customer"). If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
2) Summary of the Service (Important)
WebPageMonthly offers website design, development, and written content creation at no upfront build fee, subject to these Terms and your purchase of a monthly hosting plan. Your only obligation to receive and keep the website live through WebPageMonthly is to maintain an active monthly hosting subscription at a minimum spend of $50 per month (the "Base Hosting Plan").
WebPageMonthly may also offer optional paid add-ons (for example, ADA compliance and protection/backup services), which are billed in addition to the Base Hosting Plan as described in Section 6.
3) Eligibility; Account; Security
- You must provide accurate, current, and complete information when you join the waiting list or create an account.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must promptly notify us of any unauthorized use or security breach related to your account.
4) Waiting List; Discovery; Build Process
Due to demand, WebPageMonthly may use a managed waiting list. Joining the waiting list does not guarantee a specific start date or completion date. Any time estimates we provide are non-binding.
You agree to cooperate in the onboarding and discovery process, including providing requested content, business details, approvals, and feedback within reasonable timeframes. Delays in your responses may delay delivery.
We may decline, pause, or stop a build if: (a) the requested content violates these Terms or applicable law, (b) you fail to provide required inputs, or (c) you do not maintain an active Base Hosting Plan when required.
5) What’s Included in the Free Website Build
The free website build generally includes: professional website design, custom development, and written website content, plus standard stock imagery when needed, and mobile-responsive design.
Unless we expressly agree in writing, the free website build does not include: domain registration/renewal fees, email/mailbox services, third-party licenses, premium plugins, paid fonts, paid media/ads, SEO services, local listings fees, content migration requiring custom scripting, e-commerce platform subscription fees, or other third-party platform fees.
Any services not expressly included are outside the free build and may be offered as paid add-ons or via a separate agreement.
6) Hosting & Paid Plans; Billing; Taxes
6.1 Base Hosting Plan (Required)
To receive the free website build and/or keep your website hosted and live through WebPageMonthly, you must subscribe to the Base Hosting Plan at a minimum of $50 per month. The Base Hosting Plan may include hosting infrastructure, ongoing maintenance, software updates, security monitoring, uptime monitoring, and technical support as offered at the time of service.
6.2 Optional Add-Ons
Optional add-ons may be offered, such as (examples):
- ADA Compliance (example pricing: $150/month) – accessibility-related improvements (e.g., WCAG-related work).
- Protection (example pricing: $50/month) – backups, malware/anti-virus protections, and/or priority support.
- Other services (e.g., premium stock photography, branding, SEO) – custom pricing or quote.
Add-ons and pricing may change over time as described in Section 7. Add-ons may be governed by additional terms presented at purchase.
6.3 Payment Authorization
By providing a payment method, you authorize us (and our payment processors) to charge your payment method for recurring fees, one-time charges, taxes, and any amounts due under these Terms.
6.4 Billing Cycle; Auto-Renewal
Subscriptions are billed in advance on a recurring basis (e.g., monthly). Your subscription will automatically renew unless you cancel as described in Section 8.
6.5 Late Payments
If a payment fails or is overdue, we may suspend Services, take your website offline, and/or pause work until your account is current. You remain responsible for all amounts due. We may charge reasonable administrative fees and/or interest where permitted by law.
6.6 Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes, duties, and governmental assessments.
6.7 Refunds
Unless required by law or expressly stated in writing, fees paid are non-refundable, including partial periods. If we issue a refund in our discretion, it does not waive our right to enforce these Terms in the future.
7) Changes to Plans, Pricing, and the Services
We may modify the Services, plans, features, and pricing from time to time. If a change affects your subscription price, we will provide notice as required by law (e.g., via email, platform notification, or the website). Continued use of the Services after the effective date of changes constitutes acceptance.
8) Cancellation; Suspension; Website Availability
8.1 Cancel Anytime
Unless you have a separate written agreement stating otherwise, there are no long-term commitments. You may cancel your hosting subscription at any time through your account or by contacting support.
8.2 Effect of Cancellation or Non-Payment
If your Base Hosting Plan is canceled or becomes inactive for non-payment, your website may be taken offline and Services may be suspended. We are not responsible for losses resulting from suspension due to non-payment or cancellation.
8.3 Data & File Export on Request
If you choose to move to another hosting provider, we will provide you with website files and data that we reasonably can export, subject to (a) verification of your ownership/authorization, (b) your account being in good standing, and (c) payment of any reasonable, disclosed administrative/export fees if applicable.
8.4 Retention; Deletion
After cancellation or prolonged inactivity, we may delete your website data after a reasonable period, consistent with our data retention practices. We recommend requesting exports before canceling.
9) “Unlimited Changes” Policy (Reasonable Use)
If your plan includes “unlimited changes,” it means you may request updates such as content edits, new pages, image updates, and design tweaks, subject to reasonable use, technical feasibility, and scheduling.
“Unlimited changes” does not include: (a) major redesigns or re-platforming, (b) custom application development beyond a typical website, (c) complex third-party integrations requiring custom engineering, (d) extensive content creation beyond agreed scope, or (e) requests that violate law or third-party rights. We may propose a separate quote for out-of-scope work.
10) Customer Content; Permissions; Representations
You are responsible for all text, images, logos, trademarks, videos, and other materials you provide or request we use ("Customer Content").
- You represent that you have all rights, licenses, and permissions needed to use Customer Content.
- You agree not to provide content that is unlawful, defamatory, infringing, deceptive, or harmful.
- You grant WebPageMonthly a limited, worldwide, royalty-free license to host, reproduce, display, and modify Customer Content solely to provide the Services.
11) Stock Images; Third-Party Materials
We may use standard stock imagery as part of the build. Premium stock photography, paid fonts, and other licensed assets may require additional fees. Third-party materials are subject to their own terms, and you agree to comply with those terms.
12) Intellectual Property; Ownership
12.1 Your Ownership
You own your Customer Content. Subject to payment status and these Terms, you receive rights to use the website created for you.
12.2 Our Ownership
We retain ownership of our pre-existing tools, templates, frameworks, code libraries, processes, know-how, and platform components (collectively, "WebPageMonthly Materials"). Nothing in these Terms transfers ownership of WebPageMonthly Materials to you.
12.3 License to Use Deliverables
Provided you comply with these Terms and keep your account in good standing, we grant you a non-exclusive license to use the website deliverables created for you. If you export and host elsewhere, your use remains subject to any third-party licenses included in your site.
13) Prohibited Uses
- Violating any applicable law or regulation.
- Hosting or distributing malware, phishing, scams, or other harmful code.
- Infringing intellectual property rights or privacy rights of others.
- Sending spam or engaging in abusive or harassing conduct.
- Attempting to gain unauthorized access to systems or data.
- Using the Services for high-risk activities where failure could lead to death, injury, or significant damage.
We may suspend or terminate Service for prohibited uses and may remove content that violates these Terms.
14) Service Levels; Maintenance; No Guarantee of Results
We aim to provide reliable hosting and maintenance, but the Services may occasionally be unavailable due to maintenance, upgrades, outages, third-party failures, or events beyond our control.
We do not guarantee specific uptime percentages, search rankings, leads, sales, revenue, or business outcomes unless expressly agreed in writing.
15) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WEBPAGEMONTHLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBPAGEMONTHLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBPAGEMONTHLY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO WEBPAGEMONTHLY FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in that case, the above limitations apply to the fullest extent permitted by law.
17) Indemnification
You agree to defend, indemnify, and hold harmless WebPageMonthly and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any law or third-party rights.
18) Termination
We may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay amounts due, engage in prohibited use, or as otherwise necessary to protect the Services, other customers, or third parties.
Upon termination, your right to use the Services stops, and Sections that by their nature should survive will survive, including Sections on fees owed, intellectual property, disclaimers, limitation of liability, and indemnification.
19) Communications; Notices
You consent to receive communications from us electronically (e.g., email, platform messages, and notices posted on our website). You are responsible for keeping your contact information current.
20) Privacy; Cookies
Our collection and use of personal information is described in our Privacy Notice and Cookie Notice (if posted). By using the Services, you consent to those practices.
21) Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of CA, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in CA, and you consent to personal jurisdiction and venue there, except where prohibited by law.
OPTIONAL ARBITRATION CLAUSE (DELETE IF NOT USED): At our discretion, we may require that disputes be resolved by binding arbitration rather than in court. If you choose to include arbitration, you should have counsel tailor this clause to your jurisdiction and consumer law requirements.
22) Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. The updated Terms will be effective as of the stated effective date. Your continued use of the Services after the effective date constitutes acceptance.
23) Miscellaneous
- Entire Agreement. These Terms (and any referenced policies or add-on terms) are the entire agreement between you and WebPageMonthly regarding the Services.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
